Equity Information Disclosure

Tullett Prebon SITICO (China) Limited hereby discloses equity-related information as follows:

i. As at the end of 2021, the total number of shareholders of Tullett Prebon SITICO (China) Limited is 2, namely Shanghai International Trust Co., Ltd. and Tullett Prebon (Europe) Limited.

ii. As at the end of 2021, the shareholding percentage of shareholders of Tullett Prebon SITICO (China) Limited is 67% for Shanghai International Trust Co., Ltd. and 33% for Tullett Prebon (Europe) Limited.

iii. As at the end of 2021, the shareholders of the Company and their controlling shareholders, de facto controllers, related parties, parties acting in concert and ultimate beneficiaries are disclosed as follows based on shareholder feedback:

(1) The controlling shareholder and de facto controller of the Company's Chinese shareholder, Shanghai International Trust Co., Ltd., is Shanghai Pudong Development Bank Co., Ltd. The shareholder has no party acting in concert to invest in the Company's equity, and the ultimate beneficiary of the equity is Shanghai International Trust Co., Ltd.

(2) The controlling shareholder of the Company's foreign shareholder, Tullett Prebon (Europe) Limited, is TP ICAP EMEA Investments Limited, and its de facto controller is TP ICAP. The shareholder has no party acting in concert to invest in the Company's equity, and the ultimate beneficiary of the equity is Tullett Prebon (Europe) Limited.

iv. During the Reporting Period, the related party transactions between the Company and its substantial shareholders as well as their controlling shareholders, de facto controllers, related parties, parties acting in concert and ultimate beneficiaries complied with laws and regulations, the transaction prices were fair, and the conditions for the transactions were not superior to other transactions.

v. According to the feedback from Shanghai International Trust Co., Ltd. and Tullett Prebon (Europe) Limited, the shares of the Company held by them are not pledged or frozen, and are not subject to litigation preservation measures or legal enforcement.
